Agreement to these terms

These Terms of Use (the "Terms") govern your access to and use of the website at ezrabridge.com and its content (the "Site"), operated by Ezra Bridge Inc. ("Ezra Bridge", "we", "us" or "our"), a corporation incorporated in the State of Delaware, United States (registered address available on request).

By accessing or using the Site you agree to these Terms. If you do not agree to them, do not use the Site.

No offer of securities

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, nor a recommendation to make any investment. No part of the Site is an offering document, and no information on it should be relied upon in connection with any investment decision.

Any investment opportunity referred to on the Site is made available only to eligible investors, only through the relevant offering documents, and only under executed confidentiality terms. Where an opportunity is offered, it will be offered in reliance on available exemptions from registration and subject to the eligibility requirements that apply.

Descriptions of our ventures and our method are provided for information. Companies described as pre-launch, in development or in private alpha are exactly that, and nothing on the Site should be read as a representation of revenue, traction, assets under management, or past investment performance.

No professional advice

The Site, including the notes we publish, describes our own view of how companies are prepared for capital. It is published for general information and is not legal, financial, investment, tax, accounting or other professional advice, and must not be relied upon as such. It may be simplified, may become outdated, and will not fit every circumstance.

No adviser, fiduciary, agency or client relationship is created by your use of the Site or by contacting us. Such a relationship arises only under a written engagement signed by both parties.

Eligibility

You must be at least 16 years old, and of legal capacity to enter into a binding agreement, to use the Site. If you use the Site on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms. You are responsible for complying with the laws that apply to you where you access the Site.

Permitted use

We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and view the Site for your own informational purposes. You may quote or link to our published writing with attribution.

You agree that you will not:

• Copy, republish or redistribute substantial portions of the Site as your own, or present our writing or our method as though it were yours.
• Use the Site or its content to train a machine learning model for commercial redistribution without our written permission.
• Probe, scan, or test the vulnerability of the Site or its infrastructure, or breach any security, gating or authentication measure, other than through a good-faith report to us.
• Attempt to access any workspace, data room or material that has not been released to you, or share released material with anyone outside the terms under which you received it.
• Interfere with the Site’s operation, including through automated scraping at a rate that degrades service, denial-of-service activity, or the introduction of malicious code.
• Use the Site in violation of any applicable law, or to infringe the rights of anyone else.

Intellectual property

The Site, its design, code, text, graphics, the Ezra Bridge name and marks, and the selection and arrangement of all of it, are owned by Ezra Bridge Inc. or its licensors and are protected by copyright, trademark and other laws. Marks belonging to the companies described on the Site remain theirs.

Your submissions

If you send us material through the Site or by email before a written engagement or non-disclosure agreement is in place (a "Submission"), you grant us a non-exclusive, worldwide, royalty-free licence to use it for the purpose of evaluating and responding to it.

An unsolicited Submission is not confidential. We review a large number of companies and we cannot guarantee that a business similar to yours is not already being worked on inside the practice or by a company we have backed. A Submission does not create a partnership, employment, joint venture, mandate or confidential relationship between us.

If you need confidentiality before you send us anything, ask us for a non-disclosure agreement first. We will sign one. Once it is executed, that agreement governs the material and this section does not.

Third-party sites

The Site links to websites and services we do not control, including portfolio companies and the independent lab we partner with. We provide those links for convenience. We do not endorse and are not responsible for their content, products, policies or practices, and your dealings with them are solely between you and them.

Availability and changes

We may change, suspend or discontinue any part of the Site at any time, and may update these Terms. Changes take effect when posted, and the date at the top of this page will be revised. Your continued use of the Site after a change means you accept the revised Terms.

Disclaimer of warranties

The Site is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that any information on it is accurate, complete or current.

Limitation of liability

To the fullest extent permitted by law, Ezra Bridge Inc., its directors, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, negligence, strict liability or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars (US$100). This limitation does not apply to obligations under a separate written engagement or non-disclosure agreement, which carry their own terms.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions the exclusions and limitations above apply only to the extent permitted, and nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

Indemnification

You agree to indemnify and hold harmless Ezra Bridge Inc. and its personnel from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of your use of the Site, your Submissions, or your breach of these Terms or of any law or third-party right.

Governing law and venue

These Terms and any dispute arising out of them or the Site are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

You and Ezra Bridge agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction and venue there. Before filing, both parties agree to attempt in good faith to resolve the dispute informally by contacting the other in writing and allowing thirty days to respond.

General

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will stay in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. Where you have signed a separate engagement letter or non-disclosure agreement with us, that document governs its subject matter and prevails over these Terms to the extent of any conflict.
